Corporate Governance

Fundamental Approach

The Crestec Group is committed to growing the value of our business and strengthening corporate governance to meet the expectations of all stakeholders, starting with our shareholders. We ensure the soundness and transparency of our management, enabling swift and effective decision making and project execution.

Risk Management

Risk Management System

Crestec’s risk management system consists of our robust risk management policy, risk management guidelines, and a risk management committee. Under this committee are subcommittees that specialize in key risk areas, such as compliance and information security. This framework allows for a comprehensive response to actual or potential business crises.
Led by the committee chair, the risk management committee meets regularly to promote company-wide risk management, including compliance with relevant laws and regulations, and reports its findings to executive management. In addition, each subcommittee holds regular meetings to review compliance and the status of ongoing initiatives for the related risks, with subcommittee chairpersons reporting on these activities to the risk management committee.

Subcommittees

Subcommittees have been established for key risk categories, with a subcommittee for each of the following areas of expertise.

Subcommittee Objectives/Overview
Compliance Subcommittee Thorough compliance with laws and regulations, and respect for corporate ethics and societal norms.
Information Security Subcommittee Thorough protection of technical information obtained from other companies for the purpose of business, and complete protection of personal information.
Business Continuity Management (BCM) Subcommittee Establish systems and strengthen responsiveness to allow for continuous operations, and prevent business interruptions due to emergency situations.
Occupational Safety and Sanitation Subcommittee Ensure and maintain a safe and healthy work environment, and promote environmental management.
Risk Management Policy

Compliance

Our fundamental policy is to comply with all domestic and overseas laws, standards, and business ethics. Crestec has established systems that empower all officers and employees to uphold high ethical standards in their daily actions.
The compliance subcommittee was established to strictly enforce and strengthen legal and regulatory compliance throughout our operations. The subcommittee chairperson reports on compliance status directly to the risk management committee, which then provides updates to executive leadership.
We have also established an internal reporting system to ensure the proper handling of reports by employees or other parties regarding organizational or individual legal violations. This system aims to enable the early detection and correction of misconduct, further strengthening our compliance management apparatus.

Basic Compliance Policy

Information Security

To protect critical information assets, all Crestec Group employees adhere to our basic information security policy. As a key component of our risk management framework, information security is overseen by a dedicated information security subcommittee. This subcommittee governs the management and control of information for the entire group, developing related regulations, educating employees and executives, strengthening management framework and systems, and assessing vulnerability to external threats.

Business Continuity Management (BCM)

Crestec is actively engaged in constructing backup systems that allow us to continue operations even during emergencies. As part of these efforts, we have introduced telecommuting and staggered work hours to distribute and minimize risks such as traffic gridlock during disasters or the inability to commute due to infectious diseases.

We have also formulated a Business Continuity Plan (BCP) to prepare for major disasters and other emergencies. To ensure a decisive, effective response during a crisis, we conduct regular training and employee awareness initiatives, and continuously review and refine the BCP based on insights gained from these exercises.
Furthermore, because these initiatives meet the requirements set by the Ministry of Economy, Trade and Industry (METI), Crestec has been granted Business Continuity Enhancement Plan certification.

Fundamental Approach to the Crestec Group BCP

The Crestec BCP was formulated based on our risk management policy with the following in mind.

Human life comes first
Prioritize the safety and well-being of employees and their families.
Swift recovery
Independently and swiftly establish a recovery system and resume business services even in the event of a natural disaster.
Rapid decision-making and maintenance of functions
Ensure rapid decision-making during crises to minimize disruptions for our customers and business partners.
